TERMS AND CONDITIONS OF SALE (B2B) 

These Terms and Conditions apply to all sales of goods by Jewelstar Ltd (“the Company”) to any business customer (“the Customer”) and shall prevail over any terms proposed by the Customer unless expressly agreed in writing by the Company.

Orders and Acceptance

1.1 All orders are subject to acceptance by the Company.

1.3 Special-order, customised, bespoke or certified diamond orders are non-cancellable and non-returnable once confirmed.

Prices

2.1 Prices are quoted in GBP. A currency converter to EUR or USD is provided on the top page.

2.2 All prices exclude VAT, customs duties, taxes, delivery and insurance charges unless otherwise stated. Customers outside the UK may be liable for local import duties and taxes.

2.3 The Company reserves the right to amend prices at any time (excluding pending orders) due to currency fluctuations, changes in precious metal or market conditions. The Company website prices shall take precedence and shall be deemed the correct contractual price unless otherwise confirmed by the Company.

Payment Terms

3.1 Invoices are payable on the last day of the month following the invoice date, unless otherwise agreed in writing.

3.2 Credit facilities are subject to status and continuing approval by the Company.

3.3 Time for payment shall be of the essence.

3.4 The Company reserves the right to:

  • withdraw credit terms;
  • cancel outstanding orders;
  • charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998;
  • recover all reasonable collection and legal costs incurred.

3.5 Any discounts granted may be withdrawn and re-invoiced where payment terms are breached.

Delivery

4.1 Orders are usually sent out within 28 days for jewellery and 10 days for certified diamonds. Delivery dates are estimates only and time shall not be of the essence.

4.2 Risk in the goods passes to the Customer upon delivery, collection or transfer to the carrier.

4.3 The Company shall not be liable for delay caused by carriers, customs clearance, supplier shortages, transport disruption or events beyond its reasonable control.

Returns

We regret that earrings cannot be returned, unless damaged, due to our hygiene policy. When returning goods please ensure that you have adequate insurance cover, as we cannot be held liable for items lost in transit. Returned goods must be in new and undamaged condition with all documents returned for a full refund. Shipping and Insurance

Shipping and Insurance are free for orders over £1000.00/€1200.00, below this amount the fee is 12.00 GBP within the United Kingdom and 22.00 EUR in the European Union. Delivery will be sent by Royal Mail registered insured.

Retention of Title

5.1 Legal and beneficial ownership of the goods shall remain with the Company until full payment has been received for all sums due from the Customer.

5.2 Until title passes, the Customer shall:

  • maintain the goods fully insured.
  • not pledge, charge or otherwise encumber the goods.

Inspection, Claims and Returns

6.1 The Customer should inspect all goods immediately upon receipt.

6.2 Any shortages, damage or discrepancies must be notified to the Company by email within 48 hours of delivery.

6.3 Failure to notify within this period shall constitute acceptance of the goods.

6.4 No goods may be returned without prior written authorisation from the Company.

6.5 Approved returns must be unused, in original condition and accompanied by all certificates, reports and documentation.

6.6 Return transit shall be at the Customer’s risk and expense unless otherwise agreed in writing.

Certified Diamonds and Special Orders

7.1 Certified diamonds supplied against GIA, IGI or HRD grading reports are supplied strictly on specification and are non-returnable except in the event of material defect or supply error.

7.2 Bespoke, customised or specially sourced goods are non-returnable.

Governing Law and Jurisdiction

All transactions carried out on this web site shall be deemed to have been carried out in the UK. Any disputes shall be governed by the laws of England and the parties submit to the exclusive jurisdiction of the courts of England.

Product Information

8.1 All sizes, weights, colours, grades and specifications are approximate unless expressly certified.

8.2 Photographs, samples and descriptions are illustrative only and may vary due to natural characteristics and manufacturing tolerances.

Limitation of Liability

9.1 To the fullest extent permitted by law, the Company shall not be liable for:

  • indirect or consequential loss;
  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of opportunity or goodwill.

9.2 The Company’s total liability arising from any transaction shall not exceed the invoice value of the goods giving rise to the claim.

9.3 Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability which cannot lawfully be excluded.

Force Majeure

The Company shall not be liable for any delay or failure to perform obligations due to circumstances beyond its reasonable control including supplier failure, transport disruption, industrial disputes, natural events, governmental restrictions or other force majeure events.

Governing Law

These Terms and all transactions shall be governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

General

12.1 Failure by the Company to enforce any provision shall not constitute a waiver of its rights.

12.2 If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Placement of an order, acceptance of delivery, collection of goods or payment of any invoice constitutes acceptance of the Company’s Terms and Conditions of Sale. The version applicable to the transaction is that in force at the date of the order and is available on the Company website.
